Membership Annual Dues: $180 per year
Meetings are held once every month, first Saturday of each month. Venue is usually a central location aceptable to all members and the Executive. Reminders are sent out at least a month before the date of the meeting. Dressing for meeting is informal
As a voluntary, non profit organization, we expect our members to fully participate in all the programs and events planned and hosted by us. The idea is for this to be a democraic organization where every member truly belongs and does her part, not just members of the Executive
REGISTRATION: Nigerian Ladies Association of Texas shall be registered under the laws of the State of Texas and the U.S.A.
MEMBERSHIP: Any new applicant for membership of NLA of Texas shall be sponsored by any of the existing member and approved by a consensus decision of the members at any meeting of NLA of Texas.
a. Membership shall be opened to all ladies who are Nigerian by birth or married to a Nigerian.
b. Members must be at least 18 years, willing to attend meetings regularly, pay all applicable dues/fees, and behave in a responsible manner.
c. Members must agree to abide by all provisions of the constitution.
d. Spouses of members, irrespective of country, state, or national origin, shall be considered as honorary members. Membership of such “Honorary” members shall cease upon severance of their relationships to regular members.
e. Honorary membership allows for participation in all NLA of Texas activities other than Policy-making, voting, and holding of a title or office of any kind. Honorary members are not required to pay monthly dues.
f. Women that have Nigerian children.
OFFICERS : The following officers of the Executive Council (EXCO) shall comprise of the following:
President, Vice President, General Secretary, Assistant Secretary, Secretary of Treasury, Financial Secretary, Secretary of Social/Public Affairs, Chief Whip
PRESIDENT - The President presides over all proceedings and meetings of the Executive Council and the Association. The President shall designee/represent the Association on all official matters and provides an annual report. The President shall be one of the signatories to the bank account and have authority to appoint members to committees, sub-committees, and special assignments. The President shall be responsible for promoting the progress of the organization. The President shall be a signatory to the bank account
VICE PRESIDENT - The Vice-President shall assist the President in the execution of activities of the Association. In case the President is unable to perform the duties of the office, the Executive Council shall meet to approve the Vice President to perform the duties of the office until an election is held. The Vice President shall be a signatory to the bank account
GENERAL SECRETARY - The General Secretary shall produce minutes of all meetings, issue notice of meetings to all members.
ASSISTANT SECRETARY -The Assistant Secretary shall assist the General Secretary as necessary and record the minutes of the meeting in the absence of the General Secretary.
SECRETARY OF TREASURY -The Secretary of Treasury is the Chief Financial Officer (CFO) of the Association. The Secretary of Treasury shall coordinate and manage all financial affairs of the Association, prepare annual budget, provide annual and quarterly financial activities of the Association. The CFO shall be the principal signatory for the Association; pay all monies collected not later than seven working days; issue receipts for funds received; maintain check and account books, and keep vouchers for all payments for auditing purposes.
FINANCIAL SECRETARY -The Financial Secretary shall collect dues and contributions to be handed to the Secretary of Treasury to be deposited in the Association’s account. The Financial Secretary shall work with the Secretary of Treasury about maintenance of the account book.
SECRETARY OF SOCIAL/PUBLIC AFFAIRS -The Secretary of Social/ Public Affairs shall ensure that the Association’s activities and pronouncements of the Association are communicated to members. The Officer shall coordinate all social events in conjunction with other relevant officers and members of the Association; create and distribute relevant information such as flyers, invitation cards; assist in securing venues, mobilize members and other persons in obtaining assistance for members who need help; and establish contact with members of the international media, especially in Nigeria, to enable the Association to disseminate information and press releases.
ELECTIONSELECTION OF OFFICERS: Election for the Executive Officers shall be conducted during the December meeting of the Association. Positions shall be held for a period two years effective from the date of inauguration in January.
TERMS AND TENURE OF OFFICE: No member shall be eligible to hold the same office for more than two consecutive terms, but can contest for another office after two terms. No member shall hold two offices at the same time.
ELIGIBILITY FOR ELECTION; A member shall be qualified to contest or vote in an election provided the nominee: a. Has held membership for a minimum of six months,
b. Is up-to-date in payments of monthly dues and all other applicable fees. c. Has been actively participating in the Association. d. Has been attending the Association’s meetings 50% of time.
VOTING: Election shall be through ballot and shall be determined by a simple majority of members present to vote. However, if any member is absent and of good financial standing and is qualified to vote, she can vote by proxy through another member.
VACANCY: In the event of a vacancy in any office of the Association, an emergency election shall be conducted at the next meeting to fill the post. The newly elected Officer will serve the remaining period of the term of the original holder.
EMERGENCY ELECTIONS: An emergency election shall be held if a member vacates her position before the term of office has expired.
MEETINGS: QUORUMS - Quorum shall be assumed to have formed when one-third of the registered members are present.
MONTHLY MEETING - The members of NLA of Texas shall meet monthly at such time and place as the members may decide.
ANNUAL GENERAL MEETING -The Annual General meeting shall be held in December. The President shall report on the activities of the Association during the past year. The Secretary of Treasury shall give an annual financial report of the Association’s account. Both reports shall be written and oral. If elections were held in December, the new officers will be sworn in.
EMERGENCY MEETING - Any two members in good standing can call an Emergency General Meeting of NLA of Texas when the need for such arises. The meeting has to be in form of Written Notice to all members stating the matter to be considered.
EXECUTIVE COUNCIL MEETING: The Executive Council of the Association shall meet from time to time as it may deem fit. A quorum for the Executive Council shall consist of four members.
WITHDRAWAL OF MEMBERSHIP: A member shall have the right to withdraw voluntarily from the Association. However, such notice must be in writing to the EXCO at least one month prior to date of such withdrawal.
RE-APPOINTMENT OF AN EX-MEMBER - In case an ex-member who withdrew voluntarily and wishes to become an active member, the ex-member shall do so in writing one month prior to the next meeting. The decision to accept the ex-member shall be made with a one-third of voting members present at the meeting. A fine has been suggested -- $25 the first time, $50 the second time, and $75 the third time.
DISCIPLINARY ACTION - A member may be disciplined for: (a) Not attending three meetings without an excused absence, (b) Failing to pay dues and other applicable fees for three or more months, (c) Committing acts perceived to be detrimental to the objectives of the NLA of Texas. In the case of 12-1(d), the member shall have due process of trial by a disciplinary committee. Disciplinary measures may include fines, suspension, or dismissal. A member shall have the right to a hearing before the action is taken. However, failure to respond to the Association shall be termed as forfeiture of such right.
APPROVAL OF EXPENSES : INDEBTEDNESS - Except as otherwise distinctively provided in these Bye Laws, an indebtedness other than necessary expenses for office supplies, postage stamps, and mailing of Newsletter not more than $20.00 shall be incurred by an officer or members on behalf of the Association except by approval at the Monthly or Annual General Meeting. A member may not incur expenses on behalf of the Association. If a member or committee needs funds, a request must be made at the monthly meeting. The Secretary of Treasury shall issue a check to account for payments. All expenses must be approved at the Monthly or Annual General Meeting.
BANK ACCOUNT: The Association shall maintain a checking account at a local bank. As funds grow, a savings and/or investment accounts may be added.
SIGNATORIES: The signatories for the account shall consist of three Executive members: The President, Vice President, and Secretary of Treasury as stated in Chapter 8 Article 2 or as otherwise stated by the members in the Monthly Meeting. Two Executive members will sign each check or disbursement on behalf of the Association.
AUDITORS: Executive Council of NLA of Texas shall appoint an Auditor, who may be paid, to audit the Association’s account, which shall be kept by the Secretary of Treasury. An audit shall be conducted at least once a year, preferably in September after the Annual General Meeting. An audit shall be conducted before a Secretary of Treasury begins a new term of office.
FISCAL YEAR: The fiscal year of the Association shall begin on the 1st day of January and end on the last day of December of the following year.
AMENDMENTS TO THE CONSTITUION: The provision of this constitution may be amended at a January Monthly Meeting of the Association. The following to be done:
(a) Notice of the proposed amendment(s) shall be in writing and contain a precise statement of the amendment(s) and reason behind it.
(b) The written notice of the proposed amendment(s) shall be provided to the General Secretary of the Association 30 days prior to the Annual General Meeting in which voting is to be held. (c) Copies of the proposed amendment(s) shall be provided to the members of the Association at least 14 days before the meeting at which the proposed amendment(s) is/are to be considered. (d) Two thirds of the members present at the Annual General Meeting shall be required to adopt the amendment(s).
DISSOLUTION AND ASSETS: n case a situation arises to necessitate the dissolution of NLA of Texas, numerous efforts shall be made to resolve the conflict(s) prior to the dissolution. Members of the Association shall meet at least twice to try to settle the matter harmoniously among them. Should the members still desire to dissolve existence, a quorum of at least two-third of its members shall meet to resolve through voting to dissolve the Association. When a decision is reached for dissolution, a quorum of at least two-thirds of the members shall meet to dispose of the assets of the Association through donation to a charitable organization.
OATH: The following standard of Oath of Office shall be clearly taken by all elected officials of NLA of Texas during the Swearing-in at the Annual General Meeting. The oath is as follows: “I… (Name)…. do solemnly swear that I will support and abide by the Constitution of the Nigerian Ladies Association of Texas. And that I will faithfully and impartially discharge all the duties incumbent on me as… (Position)…. according to the best of my ability, so help me God.”
PRAYERS: The Association shall ask a member to pray or have a minute of silence before and after commencement of official functions. However, the prayer shall not exceed 2 minutes.
